Introduction to Management Buyouts

An MBO involves the management team of a business, usually with the backing of external financing, taking over ownership of the business where they are employed. MBOs are a common way of changing ownership. Often, a large company hives off one of its subsidiaries by selling to its management team. Another major source of MBO opportunities is family businesses where the owner wishes to retire.

During 2004 there have been hundreds of MBOs in the UK ranging from small buyouts funded by borrowing to Private Equity backed deals of £100s of millions.

They not only present management teams with an excellent, once in a lifetime, opportunity to run their own businesses and obtain wealth not achievable through an annual salary, but also present excellent opportunities for owner managers and companies wishing to sell or divest part of their business.

Despite this, there are still many opportunities that are ignored  due to pre conceived ideas as to what can be achieved, misplaced fears about management conflicts and an inability to see through issues that specialist advisers and financiers solve every day.

There is no doubt that achieving a successful MBO is a challenge, combining an acquisition, fund raising, restructuring and often management change into one event. A good adviser can steer you through this process to a successful conclusion.

If you are a manager with an MBO opportunity now or in the future or are considering selling your business where a management buy out may be an option, take the following steps:

Go and see an adviser.  They will usual meet you at no charge to discuss your options, whether an MBO is achievable, the key issues and the steps to take.
Do some background reading to understand the basics so the meeting can be more about your specific issues.

Use the key word function to select an adviser with specific experience i.e. if you are in printing type "print" in the keyword search.
